The space that would become Pretty Bird currently smelled like wet drywall and Jeff’s flagging optimism. Jeff stood in the center of the dusty room, glaring at a cracked linoleum floor as if he could intimidate it into becoming a thriving espresso bar.

“Step one: Buy a high-end espresso machine,” Jeff muttered, checking a crumpled list. “Step two: Figure out how to not lose my house if a customer trips over their own feet.”

He sat on a milk crate and opened his laptop. He typed “How to start a business without going to jail” into the search bar. Three hours and forty-two browser tabs later, Jeff felt like his brain had been put through a commercial bean grinder. Articles about “Registered Agents” and “Operating Agreements” blurred into a legal alphabet soup.

“I’ll just be an LLC,” Jeff grunted to the empty room. “Limited Liability Company. Sounds sturdy. Like a fortress. I’ll click this ‘Easy-Form’ button on this random site based in the Cayman Islands and—”

“I wouldn’t do that if I were you. Unless you enjoy audits and losing sleep.”

Jeff jumped, nearly sending his laptop flying. Standing by the unfinished counter was a woman in a neat brown blazer with carefully straightened hair. She was trying to untangle a retractable measuring tape that had caught on her sleeve.

“Who are you?” Jeff barked. “The health inspector?”

“I’m Lawna,” she said, finally freeing the tape with a triumphant snap. “And you’re about to commit a ‘DIY Legal Disaster.’ It’s a common affliction. Symptoms include overpaying on taxes and realizing your ‘bulletproof’ contract is actually written on a napkin.”

“I’m just forming an LLC,” Jeff said. He hid his crumpled napkin behind his back. “The internet says it’s easy.”

“If the internet told you to jump off a cliff, would-”

“Jump off a cliff?!? I’m in!”

Lawna pushed him back down onto his milk crate. “The internet also says you can perform your own appendectomy, but you don’t see people rushing to buy scalpels on Amazon, do you?”

She began pacing the dusty floor. “Look, Jeff. You think you need an LLC. Maybe you do. But have you considered an S corp? A limited partnership with one of your investor friends? Maybe you just need a stiff drink and a professional who knows the difference between a ‘form’ and a ‘strategy.’”

“I don’t have time for a law degree, Lawna,” Jeff sighed. “I just want to sell coffee.”

“Exactly!” Lawna pointed a finger at him. “You’re a coffee guy. Not a ‘navigating the California Corporations Code’ guy. If you mess up the foundation, the whole birdhouse falls down.”

She reached into her blazer pocket, rummaged past a stray highlighter and a granola bar wrapper, and pulled out a sleek business card.

“Full Circus Business Law?” Jeff asked.

“Full Circle,” Lawna grumbled. She turned for the door, propped open with a cinderblock. “Tell them the woman in the brown blazer sent you. And for heaven’s sake, Jeff, don’t click that pop-up.”
